Last updated: July 29, 2026

1. Acceptance

These Terms of Service ("Terms") govern your purchase and use of Tone Transcribe ("the Software"). By purchasing, downloading, installing, or using the Software, you agree to these Terms.

If you do not agree to these Terms, do not use the Software.

2. License Grant

When you purchase Tone Transcribe, you are granted a personal, non-exclusive, and non-transferable license to use the Software in accordance with these Terms.

You are purchasing a license to use the Software, not ownership of the Software itself. Ownership of the Software and all associated intellectual property rights remains with My Musical Brain.

This is a personal license intended for use by a single individual. The licensed individual may use the Software for both personal and professional musical activities, subject to these Terms.

You may install and use the Software on up to two computers that you own or control, provided that you are the exclusive user of the Software on both computers.

Your license may not be shared, assigned, transferred, or sold to another person.

3. Permitted Uses

Subject to these Terms, you may use Tone Transcribe to:

  • Practice, study, transcribe, and analyze music.
  • Prepare educational materials.
  • Teach music lessons.
  • Create transcriptions, exercises, playlists, and practice material.
  • Use the Software in connection with your professional musical activities.

You retain ownership of any transcriptions, practice materials, playlists, or other content you create using the Software, subject to the rights of any third-party copyright holders.

Nothing in these Terms transfers ownership of the Software or its source code to you.

4. Copyright Responsibility

Tone Transcribe is a general-purpose music practice and transcription tool.

You are solely responsible for ensuring that your use of the Software and any audio, video, or other content complies with all applicable copyright, intellectual property, and other laws.

You are also solely responsible for ensuring that any stems, backing tracks, exports, transcriptions, practice materials, or other materials created, saved, shared, or distributed using Tone Transcribe comply with applicable copyright, intellectual property, and other laws.

Nothing in these Terms grants you any rights to copyrighted works owned by third parties.

If you use Tone Transcribe in connection with commercial work, including teaching, content creation, performances, recordings, or other professional activities, you remain solely responsible for obtaining any permissions, licenses, or rights required for the underlying content.

My Musical Brain is not responsible for your use of third-party copyrighted material or for ensuring that you have the necessary permissions to use such material.

5. Prohibited Uses

You may not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover or extract the source code of the Software, except where applicable law expressly permits otherwise.
  • Redistribute, resell, sublicense, rent, lease, or otherwise make the Software available to third parties.
  • Upload, distribute, or share unauthorized, modified, or cracked versions of the Software.
  • Circumvent or interfere with any licensing or copy protection mechanisms.
  • Remove or alter copyright notices or other proprietary notices included with the Software.

6. Intellectual Property

Tone Transcribe, including its software, design, user interface, branding, graphics, documentation, and all associated materials, is the intellectual property of My Musical Brain and is protected by applicable copyright and intellectual property laws.

Nothing in these Terms transfers ownership of the Software or any intellectual property rights to you.

7. Software Updates

Your purchase grants you a perpetual license to use the version of Tone Transcribe that you purchased, subject to these Terms.

A perpetual license means you may continue using the version you purchased, subject to these Terms. It does not guarantee future updates, continued support, or compatibility with future operating systems or hardware.

From time to time, we may provide bug fixes, maintenance releases, and minor updates for your purchased major version at no additional cost.

We may, at our discretion, offer future major versions as optional paid upgrades. Purchasing a future major version is never required to continue using the version you have already purchased.

Future versions of the Software may require newer operating systems or hardware and may not be compatible with older systems. Likewise, older versions of the Software may not remain compatible with future operating systems, hardware, or third-party software.

My Musical Brain does not guarantee indefinite compatibility with all past or future operating systems, hardware, or third-party software, nor does it guarantee that updates or compatibility fixes will continue to be provided indefinitely.

We may discontinue development, maintenance, updates, or customer support for the Software or any version of the Software at our discretion.

If development, maintenance, updates, or customer support are discontinued, customers may continue using the licensed version of the Software for as long as it remains functional in their environment.

8. Disclaimer of Warranty

Tone Transcribe is provided "as is" and "as available," without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, My Musical Brain disclaims all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Software will be uninterrupted, error-free, or compatible with every computer, operating system, hardware configuration, or future software environment.

9. Limitation of Liability

To the fullest extent permitted by applicable law, My Musical Brain shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use or inability to use the Software.

Our total liability arising out of or relating to the Software shall not exceed the amount you paid for your license.

Nothing in these Terms limits or excludes any rights or remedies that cannot legally be limited or excluded under applicable consumer protection laws.

10. Termination

These Terms remain in effect until terminated.

Your license automatically terminates if you materially violate these Terms.

Upon termination, you must immediately stop using the Software.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Software, our business, or applicable laws.

When material changes are made, we will update the "Last updated" date at the top of this document.

Continued use of the Software after updated Terms become effective constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada, without regard to conflict of law principles.

13. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and My Musical Brain regarding your use of Tone Transcribe.
